Houston office of a BCG Attorney Search Top Ranked Law Firm seeks a health care transactional attorney preferably with 3 years of relevant experience with emphasis in transactional, health care, and regulatory matters. The candidate will be managing assigned matters from inception through closing including drafting and negotiating primary and ancillary documents for Mergers and Acquisitions. Will be reviewing, drafting, and negotiating contracts and agreements as well as compliance programs. Consulting and advising regarding compliance with STARK, Anti-Kickback Statute, and Prohibition against the Corporate Practice of Medicine. Representing clients in connection with OIG, False Claims Act, Texas Medical Board, Texas Board of Nursing, and other regulatory body investigations. Drafting and negotiating Employment and Independent Contractor Agreements, Licensing Agreements, Joint Ventures, Management Services Agreements, Medical Director Agreements, and similar transactions. Preparing documentation for entity formation and equity-sharing arrangements. Advising clients on matters pertaining to relevant State and Federal Regulations and conducting due diligence. Preparing opinions and consultations. Corresponding and communicating with clients. Should have experience with STARK, Anti-Kickback Statute, and other fraud and abuse laws. Must have experience with OIG and Attorney General health care investigations. Experience representing clients before licensing boards including the Texas Medical Board, Texas; Board of Nursing, and Texas State Board of Pharmacy is required. Experience with entity formation and corporate documents is needed. Must have experience with mergers and acquisitions, shareholder buyouts, employment agreements, and non-competes. Should have experience negotiating commercial leases. Must be Licensed to practice in the State of Texas and the United States District Court for the Southern District of Texas.
