Job Details:

  • Provide legal counsel and strategic advice to clients on corporate matters, including mergers and acquisitions, corporate governance, securities regulations, and contract negotiations.
  • Conduct thorough legal research, analyze complex issues, and prepare well-reasoned legal opinions and memoranda.
  • Draft and review legal documents, including contracts, agreements, and corporate policies, ensuring compliance with applicable laws and regulations.
  • Assist in due diligence processes for corporate transactions, reviewing financial documents, contracts, and other relevant materials.
  • Collaborate with cross-functional teams, including finance, tax, and compliance, to ensure seamless execution of corporate transactions and compliance with legal requirements.
  • Participate in negotiations and discussions with opposing counsel, clients, and regulatory authorities.
  • Stay updated on changes in corporate law, regulations, and industry best practices, providing recommendations for adapting firm strategies accordingly.
  • Mentor and supervise junior attorneys, providing guidance and support in their professional development.
  • Build and maintain strong client relationships, delivering exceptional client service and solutions aligned with their business objectives.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Bar and in good standing in FL.
  • 3-5 years of experience in a reputable law firm or corporate legal department, focusing on corporate law.
  • Strong knowledge of corporate transactions, securities regulations, corporate governance, and contract law.
  • Exceptional legal research, analytical, and problem-solving skills.
  • Excellent written and verbal communication abilities, effectively communicating complex legal concepts to clients and colleagues.
  • Proven ability to manage multiple projects simultaneously, meet deadlines, and prioritize tasks effectively.
  • Detail-oriented mindset with strong organizational skills and a keen eye for accuracy.
  • Collaborative team player with excellent interpersonal skills, building relationships with clients and colleagues.
