As a key member of the Commercial Banking Innovation & Products and Shared Services Legal team, you will provide transactional and strategic legal support to the firm’s Government, Healthcare, Higher Education and Not-for-Profit (GHHN) businesses. This role involves advising the GHHN business and providing day-to-day support for the team and its internal stakeholders. You will have the opportunity to work on a variety of GHHN issues and collaborate with key decision makers. Key Responsibilities: - Draft, negotiate and advise on a wide range of documentation and transactional support structures, including analysis and advice on structural and risk issues. - Review and respond to various solicitation documents, including Requests for Proposals from GHHN clients, and negotiate final contracts while providing advice on exception approval issues. - Assist with projects and initiatives to meet business, regulatory, and operational goals, and address compliance concerns. - Stay up-to-date on legal and regulatory changes and provide advice on proposed legislation affecting GHHN products and services. - Advise the businesses on key legal and regulatory issues. Required Qualifications: - Minimum of five (5) years post-admission practicing experience with a major law firm, financial institution, or judicial clerkship relevant to the position. - JD or equivalent degree required, and must be in compliance with all relevant licensing requirements. - Transactional experience with strong contract negotiation skills and knowledge of core banking products and services for commercial clients. - Experience working with Governments, Healthcare providers, Higher Education institutions, or Not-For-Profit organizations. - Familiarity with banking law and financial services laws and regulations. - Ability to lead and drive teams, prioritize work, and interact with senior management. Preferred Qualifications: - Knowledge of laws, rules, and regulations applicable to GHHN clients. - Experience working with wholesale payment solutions. - Experience preparing and responding to requests for proposals, particularly from state and local governments. - Understanding of state and local government issues and procurement laws.
