Job Overview: A law firm seeks a talented Private Companies Resource Attorney with a strong US corporate/transactional practice background. The ideal candidate will have 3-5 years of experience and be adept at working with larger, later-stage private companies. Additionally, familiarity or interest in life sciences and/or digital health is preferred. The role involves preparing, improving, and curating template documents, developing educational content, and staying updated on legal developments.

Duties:

  • Prepare, improve, annotate, and automate template documents.
  • Curate and organize forms, precedents, and other know-how.
  • Develop training and educational content with the legal education team.
  • Coordinate with lawyers and Cooley personnel for resource review and updating.
  • Monitor legal and regulatory developments in Private Companies, Life Sciences Regulatory, and Digital Health practices.
  • Prepare summaries and alerts regarding legal developments.
  • Develop content for Cooley publications and external-facing resources.
  • Field day-to-day requests from attorneys for precedents and templates.
  • Participate in resource, knowledge management, and practice innovation projects.
  • Perform all other duties as assigned or required.

Requirements:

  • Must be a licensed attorney.
  • 3-5 years of experience in a US corporate/transactional practice.
  • Well-developed skill set in working with larger, later-stage private companies.
  • Background or interest in life sciences and/or digital health preferred.
  • Strong drafting skills.
  • Ability to handle multiple ongoing projects.
  • Associate experience running closings and coordinating diligence/disclosures on transactions preferred.
  • Detailed drafting and analysis skills are required for template documents.

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the State Bar Association.

Skills:

  • Strong drafting and analytical skills.
  • Excellent organizational and project management abilities.
  • Ability to work collaboratively with various stakeholders.
  • Proficiency in legal research and staying updated on legal developments.
  • Familiarity with corporate transactions and private company counseling.
  • Attention to detail and accuracy.
  • Proficiency in Microsoft Office Suite and legal research tools.
