A law firm in Pittsburgh is seeking a Corporate Associate Attorney to assist senior attorneys in various areas of corporate and commercial law. The ideal candidate will have 2-5 years of relevant practice experience in general corporate law, commercial transactions, mergers and acquisitions, and business planning. Responsibilities include preparing and negotiating commercial agreements, counseling clients on entity formation, and conducting legal research on corporate matters.

 

Duties:

  • Assist senior attorneys in all areas of corporate and commercial law.
  • Prepare and negotiate disclosure schedules and other documents and agreements related to sale, acquisition, merger, and other commercial transactions.
  • Draft, review, and revise all forms of commercial documents including master service agreements, purchase order terms, supply agreements, and distributor agreements.
  • Counsel clients on new entity formation including drafting, reviewing, and revising formation documents, employment agreements, and owner buy-sell agreements.
  • Conduct legal research on corporate matters.
  • Communicate effectively with clients, colleagues, and external parties.
  • Demonstrate strong analytical skills in analyzing complex legal issues.

 

Requirements:

  • Law licensure in Pennsylvania at minimum.
  • 2-5 years of relevant practice experience in general corporate law, commercial transactions, mergers and acquisitions, and business planning.
  • Excellent written, oral, and interpersonal communication skills.
  • Strong analytical skills and attention to detail.

 

Education and Certifications:

  • Juris Doctorate degree from an accredited law school.
  • Admission to the Pennsylvania Bar.

 

Skills:

  • Knowledge of corporate and commercial law principles.
  • Experience in drafting and negotiating commercial agreements.
  • Ability to counsel clients on entity formation and related matters.
  • Proficiency in legal research and analysis.
  • Strong communication and interpersonal skills.
  • Attention to detail and ability to manage multiple tasks effectively.
