Job Overview: A law firm is seeking a dynamic Mid-to-Senior-Level Capital Markets Associate Attorney with 4-6 years of experience in . capital markets. The ideal candidate will have a strong background in representing underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings. Experience in representing public companies in the '34 Act work is advantageous for this role.

Duties:

  • Provide legal counsel and support to clients in capital markets transactions, including IPOs, follow-on public offerings, and private placements.
  • Draft and review transaction documents, including prospectuses, offering memoranda, and underwriting agreements.
  • Conducted due diligence and assisted with regulatory compliance matters related to securities offerings.
  • Collaborate with internal teams and external parties to ensure smooth execution of transactions.
  • Research and analyze relevant legal issues and provide recommendations to clients.

Requirements:

  • 4-6 years of experience in capital markets law.
  • Admission to the New York State Bar or eligibility to waive in.
  • Proven experience in representing underwriters, issuers, and placement agents in securities offerings.
  • Familiarity with SEC regulations and '34 Act compliance.
  • Excellent written and verbal communication skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar or eligibility to waive in.

Skills:

  • Strong legal research and analytical skills.
  • Ability to work efficiently under pressure and meet tight deadlines.
  • Attention to detail and accuracy in drafting legal documents.
