A law firm is seeking an Associate Attorney for Corporate Law based in New York City, NY.

Job Overview:

The Associate Attorney will primarily handle private offerings, general venture capital and tech company corporate transactions, public company representation, and public offerings. The ideal candidate will have 3-5 years of relevant law firm experience and must be highly motivated with exceptional academic credentials and communication skills. Membership to the NY State Bar is required.

Duties:

• Manage private offerings, including drafting offering documents, conducting due diligence, and advising clients on compliance matters.
• Handle general venture capital and tech company corporate transactions, including mergers and acquisitions, joint ventures, and corporate governance matters.
• Represent public companies in various legal matters, including securities filings, compliance, and corporate governance.
• Assist with public offerings, including initial public offerings (IPOs), secondary offerings, and follow-on offerings.
• Conducted legal research and provided analysis on complex legal issues.
• Collaborate with other attorneys and support staff on client matters.

Requirements:

• 3-5 years of relevant law firm experience focusing on Corporate Law.
• Admission to the New York State Bar.
• Exceptional academic credentials, including a JD from an accredited law school.
• Superior verbal and written communication skills.
• Highly motivated and able to work independently as well as part of a team.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Membership to the New York State Bar.

Skills:

• Proficiency in legal research and analysis.
• Strong understanding of corporate finance and securities laws.
• Excellent attention to detail and organizational skills.
• Ability to manage multiple priorities and deadlines effectively.
