Bloomfield Hills office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate transactional attorney with experience. The candidate will be drafting formation and governance documents for entities. Will be drafting financing and loan documents such as loan agreements, promissory notes, security agreements, pledge agreements, and UCC Statements, and have familiarity with pertinent sections of Article 9 of the Uniform Commercial Code. Drafting asset and equity purchase agreements such as asset purchase agreements, equity purchase agreements, contribution agreements, and option agreements and familiarity with tax considerations in structuring such transactions. Familiarity with exempt private securities offerings and related documents under Regulation D and other federal exemptions and under Michigan state securities laws, such as private placement memoranda, subscription agreements, subscriber questionnaires, and other subscription documents needed. Familiarity drafting diverse types of contracts, and/or industry-specific agreements essential. Prior responsibility negotiating contract terms as lead attorney in substantial transactions needed. Experience in Cannabis licensing and transactions in Michigan or other states essential. Experience working with venture capital and/or private equity companies needed. Portable book of business is always preferable.
