A senior corporate counsel for M&A at Autodesk is needed to support the company's M&A and integration activities. This is a hybrid position based in San Francisco, CA. The successful candidate will have a direct impact on the future of the company and will play a key role in shaping its continued transformation. They will report to the Director of Corporate Legal and will be responsible for advising and managing all M&A activities, including acquisitions, divestitures, equity investments, joint ventures, and mergers. They will also be responsible for managing post-closing integrations and creating continuous improvements in deal and integration processes. This role requires a . degree and 6-9 years of relevant experience, including 4+ years of M&A work at a major law firm and 1+ years of in-house technology company experience. The salary range for this role is between $169,200 and $273,680, with the potential for additional bonuses, commissions, and stock grants. Responsibilities:
- Advise and manage M&A activities, including acquisitions, divestitures, equity investments, joint ventures, and mergers
- Work with multiple teams to structure transactions, draft letters of interest and term sheets, manage deal processes, and negotiate definitive documentation
- Manage post-closing integrations
- Create continuous improvements in deal and integration processes
- Regular benchmarking of transaction terms and integration processes
- Manage outside counsel and build relationships
- Prepare playbooks and guide more efficient processes for M&A and integration teams
- Assist with high priority tasks and matters, including financing, executive compensation, and sustainability initiatives
- Use business judgment and make decisions and recommendations
- Participate in developing company, department, and team goals
- Proactively manage multiple projects
- Negotiate and communicate with various business groups
- Demonstrate excellent project management skills
- Work well under pressure and with a sense of accountability and inclusivity
- Willingness to travel

Minimum Qualifications:
- . degree from an accredited law school and licensed to practice in California
- 6-9 years of relevant experience, including 4+ years of M&A work at a major law firm and 1+ years of in-house technology company experience
- Experience with technology and cross-border transactions
- Familiarity with supporting multinational companies with international business operations
- Ability to identify and analyze legal issues and draft important documents
- Strong business judgment and decision-making skills
- Experience in developing strategic and operational goals
- Proactive, driven, and adaptable
- Strong negotiation and communication skills
- Excellent project management skills
- Ability to work well under pressure
- Willingness to travel
