The Associate - Transactions & Corporate Counseling will be responsible for handling corporate and business transactions including structuring and utilizing Delaware business entities. They will also be responsible for drafting legal opinions related to Delaware's corporate laws and statutes. This position requires four to five years of experience in alternative entity transactions and admission to the Delaware bar. The successful candidate will have strong written and oral communication skills and previous experience practicing in the District of Delaware.

Responsibilities:

Handle corporate and business transactions, with a focus on Delaware business entities such as corporations, LLCs, partnerships, and trusts.
Draft legal opinions related to Delaware's General Corporation Law, alternative entity statutes, and the Delaware Uniform Commercial Code.
Communicate effectively with clients and co-counsel, both in written and oral form.
Continuously stay updated on changes and developments in Delaware corporate laws and statutes.
Work collaboratively with team members and contribute to the growth of the practice.

Qualifications:

Four to five years of experience with alternative entity transactions.
Admitted to the Delaware bar.
Strong written and oral communication skills.
Experience practicing in the District of Delaware.
