The ideal candidate should possess strong drafting and organizational skills, excellent academic credentials, and prior experience in an Am Law 100 law firm. The candidate must hold a Juris Doctor degree from an ABA-accredited law school and be a member of the State Bar or eligible for prompt admission.

Duties:

• Conduct legal research and analysis on corporate matters related to private equity, venture capital, and joint ventures.
• Draft and review legal documents, including contracts, agreements, and transactional documents.
• Provide legal advice and counsel to clients on corporate transactions and compliance matters.
• Participate in due diligence investigations and negotiations.
• Collaborate with senior attorneys and partners on complex legal matters.
• Stay updated on changes in laws and regulations relevant to corporate transactions.

Requirements:

• 3-5 years of relevant experience in private equity, venture capital, and joint venture transactions.
• Juris Doctor degree from an ABA-accredited law school.
• Membership in the State Bar or eligibility to obtain admission promptly.
• Prior experience in an Am Law 100 law firm.
