A law firm in Boston, MA, is seeking a Corporate M&A Associate Attorney with 5+ years of experience. The ideal candidate should have significant experience in M&A, with additional experience in venture capital (investor and company-side) and general corporate transactional representations being a plus. Strong academic credentials, excellent communication and drafting skills, and the ability to work in a fast-paced, team-oriented environment are essential.

 

Duties:

  • Draft primary deal documents, including merger agreements, stock purchase agreements, and joint venture agreements.
  • Lead complex diligence and deal management, including managing junior associates and internal specialist teams.
  • Conduct client interaction and produce high-quality work product.
  • Utilize strong organizational skills to manage multiple tasks efficiently.
  • Bring industry experience with energy and/or renewable energy and private equity transactions, if available.
  • Collaborate with partners and other team members to provide comprehensive legal services to clients.
  • Stay updated on relevant legal developments and industry trends.
  • Perform other related duties as assigned.

 

Requirements:

  • 5+ years of experience in Corporate M&A.
  • Admission to the Massachusetts Bar required.
  • Strong academic credentials from a reputable law school.
  • Excellent communication and drafting skills.
  • Ability to work in a fast-paced, team-oriented environment.
  • Industry experience with energy and/or renewable energy and private equity transactions is a plus.

 

Education/Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Massachusetts Bar.

 

Skills:

  • Significant experience in M&A.
  • Experience in venture capital and general corporate transactional representations preferred.
  • Strong drafting skills for primary deal documents.
  • Leadership and management skills for complex diligence and deal management.
