Duties:

  • Provide legal counsel on securities law matters, including compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Draft and review securities filings, including registration statements, periodic reports, and proxy statements.
  • Assist clients with public and private offerings of securities.
  • Conduct due diligence in securities transactions.
  • Advise clients on corporate governance and disclosure obligations.
  • Represent clients in SEC investigations and enforcement actions.
  • Stay updated on changes and developments in securities laws and regulations.
  • Collaborate with other attorneys and staff on securities-related matters.

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school.

  • Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Admission to the Bar in the relevant jurisdiction.
  • Excellent written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • Detail-oriented with strong analytical skills.
