A law firm in Rochester is seeking a Health Care Transactional and Corporate Associate Attorney with 3+ years of relevant experience, including corporate and M&A transactional work with exposure to clients in the healthcare industry. The ideal candidate will represent sophisticated corporate clients operating in the healthcare sector, handling a wide range of general corporate and transactional matters. Strong relationship management, communication, and negotiation skills are essential. While not required, a portable and growing book of business will be favorably regarded.

Duties:

• Represent corporate clients in the health care industry in various transactional and corporate matters.
• Provide legal counsel and support on mergers and acquisitions, corporate governance, regulatory compliance, and contractual matters.
• Draft and negotiate contracts, agreements, and other legal documents.
• Conduct due diligence reviews in connection with transactions.
• Collaborate with clients, attorneys, and other professionals to facilitate transactions and business operations.
• Stay updated on relevant laws, regulations, and industry trends impacting the health care sector.
• Support and enhance the firm's health care practice across its platform.

Requirements:

• 3+ years of relevant experience in corporate and M&A transactional work.
• Exposure to clients in the health care industry preferred.
• Juris Doctor (.) degree from an accredited law school.
• Admission to the State Bar in the jurisdiction of practice.
• Strong relationship management, communication, and negotiating skills.
• Ability to work effectively both independently and in a team environment.
• Portable and growing book of business, while not required, will be favorably regarded.
