The Finance Associate Attorney will handle a variety of commercial law matters, including drafting complex commercial contracts, managing financial transactions, and providing legal opinions. This role requires expertise in structured finance transactions and the ability to oversee junior associates.

 

Duties:

  • Draft complex commercial contracts, including pooling and servicing agreements, administration agreements, indentures, and trust agreements
  • Provide legal opinions, including bankruptcy opinions
  • Manage financial transactions, overseeing the work of junior associates
  • Draft and prepare transaction documents
  • Successfully close transactions in accordance with client needs and deadlines
  • Stay updated on developments in commercial law, including the uniform commercial code, securities law, and bankruptcy-related issues

 

Requirements:

  • 4+ years of experience working on structured finance transactions, including securitization and other capital markets transactions
  • Admission to and membership in good standing of the California Bar
  • Knowledgeable about commercial law matters, including the uniform commercial code, securities law, and bankruptcy-related issues
  • Strong drafting and analytical skills
  • Ability to manage multiple tasks and work effectively under pressure

 

Education:

JD degree from an accredited law school

 

Certifications:

Admission to and membership in good standing of the California Bar
