This is a challenging and exciting role for a lawyer with a keen eye for detail and a passion for corporate law. As a member of our team, you will have the opportunity to work on a variety of legal issues, with a focus on contractual agreements, vendor sourcing, and due diligence.

Responsibilities:

As the Director, Counsel, you will be responsible for:

- Negotiating, drafting, and reviewing commercial documents while providing legal guidance to minimize risks and support business objectives.
- Assessing business needs and determining appropriate documentation to ensure compliance with laws and mitigate risks.
- Offering proactive risk assessment advice during vendor procurement processes.
- Researching and providing recommendations on legal issues, communicating risks and benefits to stakeholders.
- Identifying significant issues for escalation to senior legal personnel.
- Maintaining contract status reports, archiving approvals, and streamlining internal contract review processes.
- Summarizing agreements for ongoing vendor relationships and updating contract templates as needed.
- Staying updated on relevant laws and industry trends and adjusting contractual templates accordingly.
- Collaborating with stakeholders to ensure consistency in contract terms and standards.
- Assisting in vendor due diligence activities, including reviewing reports and providing follow-up support to Procurement and IT Departments.

Qualifications:

To be successful in this role, you will need:

- A JD from a highly rated accredited law school.
- Membership in a State Bar and the ability to obtain New Jersey in-house certification if not admitted in New Jersey.
- 3-5 years of relevant experience in commercial contractual negotiation and drafting within an in-house corporate legal department setting and/or law firm.
- The ability to manage and communicate with Legal department members, outside counsel, and vendors.
