A law firm in Covington, KY, is seeking a Tax and Transactional Associate Attorney to work with supervising attorneys and represent clients in a variety of tax and transactional matters. The role includes analyzing estate plans and drafting trusts and other estate planning documents for high-net-worth individuals. The attorney will prepare or review corporate, individual, trust, and estate tax returns, investigate and provide guidance on tax incentives such as Qualified Opportunity Zones, and partner with clients for tax planning related to sales, purchases, and mergers. The role also involves providing tax dispute resolution, litigation, and planning services, creating tax plans, keeping clients informed about potential tax issues, performing income tax audit defense, and drafting and reviewing contracts and agreements for business or entity transactions.

Duties:

  • Work with supervising attorneys to represent clients in various tax and transactional matters.
  • Analyze estate plans and draft trusts and estate planning documents for high-net-worth individuals.
  • Prepare or review corporate, individual, trust, and estate tax returns.
  • Investigate and provide guidance on Qualified Opportunity Zones and other tax incentives.
  • Partner with clients to offer tax planning for sales, purchases, and mergers.
  • Provide tax dispute resolution, litigation, and planning services.
  • Create tax plans and advise on tax-related preparations.
  • Stay updated on changes in tax laws and regulations.
  • Offer regular counsel to clients to keep them informed about potential future tax issues.
  • Perform income tax audit defense.
  • Draft and review contracts and agreements related to business or entity transactions and conduct due diligence.
  • Draft complex trusts and instruments to implement tax avoidance estate plans.

Requirements:

  • Juris Doctorate degree, along with substantial financial and accounting experience.
  • CPA, LLM, and/or Master's in Tax is preferred.
  • 2-5 years of experience practicing as an associate attorney.
  • Demonstrated ability to counsel clients on the consequences of new tax laws and update federal and state laws affecting clients' businesses.
  • Strong drafting, writing, and analytical skills.
  • Ability to conduct project-related research and analyze federal and state tax laws.
  • Proficiency in undertaking tax basis calculations and other tax-related studies.
