A law firm is seeking a Junior to Mid-Level Private Funds Associate Attorney for its Miami office. The ideal candidate should have some experience with fund formation and investment adviser work and a genuine interest in practicing as a private funds lawyer. They should possess a strong academic history and excellent written and verbal communication skills, along with a high attention to detail. A basic understanding of entity types from a tax perspective and familiarity with the Federal securities laws (., the ’33 Act, the ’34 Act, the Investment Company Act, and the Investment Advisers Act) is preferred. The candidate should also understand the basics of fund economics and be able to draft related language in fund agreements coherently or be motivated to learn to do so. Admission to practice in the jurisdiction of application or eligibility for admission is required.

 

Duties:

  • Assist with fund formation and investment adviser work
  • Draft fund agreements and related legal documents
  • Conduct legal research on tax and securities law issues
  • Analyze and advise on the structure of investment funds
  • Collaborate with partners and senior associates on client matters
  • Provide legal support to private fund managers

 

Requirements:

  • JD degree from an accredited law school
  • Admission to practice in the jurisdiction or eligibility for admission
  • 2-6 years of experience in a large law firm setting
  • Experience with fund formation and investment adviser work preferred
  • Strong academic background
  • Excellent written and verbal communication skills
  • Detail-oriented with the ability to manage multiple tasks efficiently

 

Education:

JD degree from an accredited law school

 

Certifications:
