Duties:

  • Represent borrowers, agents, lead arrangers, and lenders on NAV-based, subscription credit, capital call, and other fund finance facilities.
  • Provide legal counsel on various fund finance facilities, including hybrid, open-end, HNW, aftercare, umbrella, management fee, and GP lines.
  • Conduct legal research and analysis related to fund finance transactions.
  • Draft and review legal documents, including credit agreements, security documents, and ancillary agreements.
  • Negotiate terms and conditions of fund finance transactions.
  • Collaborate with internal and external stakeholders, including clients, counterparties, and attorneys.

Requirements:

  • 6+ years of fund finance experience.
  • Extensive experience with subscription line credit facilities and NAV-based facilities.
  • Prior work with CLOs is a plus.
  • Experience representing borrowers, agents, lead arrangers, and lenders on various fund finance facilities.
  • Large law firm experience.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Massachusetts Bar (or eligible for admission).

Skills:

  • Strong understanding of fund finance transactions.
  • Excellent negotiation and drafting skills.
  • Ability to work independently and as part of a team.
  • Exceptional communication and interpersonal skills.
