Job Overview: A law firm is seeking a Fund Formation Associate Attorney to be involved in all aspects of the formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds across various strategies. The role will also encompass working on related capital raising transactions and managing equity investment processes for independent sponsors.

Duties:

  • Participate in all aspects of fund formation, including drafting limited partnership agreements and limited liability company agreements.
  • Work on capital raising transactions, including programmatic joint ventures and structuring equity investment processes for one-off investment transactions.
  • Review fund documents and identify issues on behalf of institutional investors.
  • Prepare offering documents such as Private Placement Memorandums (PPMs) and ensure compliance with relevant securities laws.
  • Provide advice on the Advisers' Act and related exemption, registration, and compliance issues for fund managers.
  • Interact with and advise legal and business personnel throughout the fund formation process.
  • Draft and negotiate transaction documents and commercial agreements.

Requirements:

  • 2-6 years of experience in a large law firm representing private fund sponsors and institutional investors.
  • Strong understanding of market fund terms and common issues negotiated in fund offerings.
  • Experience with Regulation D and other securities laws governing private placements.
  • Familiarity with the Advisers' Act and related compliance issues.
  • Excellent interpersonal skills and ability to work independently with clients and colleagues.
  • Strong academic record with excellent writing and oral communication skills.

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Illinois State Bar (or eligibility to waive in).

Skills:

  • Drafting and reviewing limited partnership agreements and LLC agreements.
  • Analytical skills for identifying issues in fund documents.
