Job Title:

US In-House Legal Counsel

Job Summary:

As an integral part of the Questel Legal Team, the US In-House Legal Counsel is responsible for protecting the legal interests of Questel's US entities, providing guidance on legal rights and duties within the US, and managing complex legal projects and ensuring legal compliance for Questel's US entities. This position reports to the Questel Group Chief Legal Officer and works closely with the international legal team to advise on US federal, state, and local law requirements.

Key Responsibilities:

- Draft and review contracts and agreements for various teams, including HR, Sales, Finance, and Procurement
- Advise the international legal team on US federal, state, and local law requirements for contracts and agreements
- Consult and advise the HR team on corporate policies and procedures to ensure compliance with labor laws
- Support outside immigration counsel as needed by the HR team
- Assist outside tax professionals with state and local tax issues as requested by the finance team
- Support finance team and outside auditors during audits
- Advise on creditor's rights in bankruptcy proceedings and support collection efforts by the finance team
- Draft and file corporate documents to comply with state and local requirements
- Oversee Questel's registered agent and ensure accuracy of business registrations in various states
- Support outside legal counsel on special projects such as mergers and acquisitions and litigation
- Draft meeting minutes and consents for stockholders, LLC members, and board of directors of US subsidiaries
- Assist Corporate Secretary in providing Certificates of Good Standing and other legal documents for US entities
- Work on special projects and other duties as assigned by management

Qualifications & Skills:

- A Juris Doctor (JD) degree from a US accredited law school
- Licensed to practice law in at least one state and in good standing
- Minimum of 5 years of legal experience in corporate governance, drafting contracts and agreements, labor law compliance, creditor representation in bankruptcy, and interacting with government and tax agencies
- Familiarity with mergers and acquisitions (M&A) and due diligence matters is preferred
- Strong negotiation and legal writing skills
- Excellent analytical, organizational, and communication skills
- Detail-oriented, accurate, and able to work efficiently under pressure
- Ability to manage complex legal projects and proactively identify legal issues and propose solutions
- Proficient in Microsoft Office applications
- Ability to multi-task and adapt to changing priorities
- Fluent in English, fluency in a second language is preferred but not required

Supervision:

The US In-House Legal Counsel will report to the Questel Group Chief Legal Officer and will not have any direct reports.

Physical/Sensory/Mental Demands:

- Consistently standing and/or sitting for meetings
- Operating a computer and other office equipment
- Maintaining confidentiality of all information
- Occasional travel may be required
