A law firm in Hackensack, NJ, is actively seeking a Fund/Securities Transactional Attorney to join their team. The ideal candidate should possess a minimum of 7 years of experience in fund formation, governance, and transactions and/or securities matters. A requirement for this position is admission to the New Jersey Bar. The successful candidate should have strong academic credentials and exceptional oral and written communication skills.
Duties and Responsibilities:
Provide legal counsel and guidance to clients in matters related to fund formation, governance, and transactions, as well as securities law matters.
Collaborate with clients to structure, negotiate, and draft various fund-related agreements, offering memoranda, and disclosure documents.
Handle the legal aspects of investment fund transactions, including private equity, venture capital, and hedge funds.
Ensure compliance with all relevant federal and state securities laws and regulations.
Conduct legal research and analysis, staying informed about changes in securities laws and industry trends.
Maintain and build client relationships by providing clear and effective communication and delivering high-quality legal services.
Collaborate with colleagues to develop legal strategies and approaches for complex fund and securities transactions.
Manage case files, maintain accurate records, and adhere to all relevant legal procedures and regulations.
Requirements:
Juris Doctor (JD) degree from an accredited law school.
Active membership in the New Jersey Bar is required.
A minimum of 7 years of legal experience, with a strong background in fund formation, governance, and transactions, and/or securities law.
Strong academic credentials, including excellent grades and academic achievements.
Skills:
Exceptional oral and written communication skills.
Proficiency in negotiating and drafting complex fund-related agreements and securities documents.
Thorough knowledge of federal and state securities laws and regulations.
