Duties and Responsibilities:

  • Provide legal counsel and guidance to clients in matters related to fund formation, governance, and transactions, as well as securities law matters.

  • Collaborate with clients to structure, negotiate, and draft various fund-related agreements, offering memoranda, and disclosure documents.

  • Handle the legal aspects of investment fund transactions, including private equity, venture capital, and hedge funds.

  • Ensure compliance with all relevant federal and state securities laws and regulations.

  • Conduct legal research and analysis, staying informed about changes in securities laws and industry trends.

  • Maintain and build client relationships by providing clear and effective communication and delivering high-quality legal services.

  • Collaborate with colleagues to develop legal strategies and approaches for complex fund and securities transactions.

  • Manage case files, maintain accurate records, and adhere to all relevant legal procedures and regulations.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.

  • Active membership in the New Jersey Bar is required.

  • A minimum of 7 years of legal experience, with a strong background in fund formation, governance, and transactions, and/or securities law.

  • Strong academic credentials, including excellent grades and academic achievements.

Skills:

  • Exceptional oral and written communication skills.
