A law firm in Houston is seeking an experienced Associate Attorney with 3+ years of expertise in advising on complex real estate transactions and representing clients in energy transactions. The ideal candidate should have a Juris Doctor, LLM, or equivalent and be admitted to practice law in the state of Texas.

 

Duties:

  • Advise on complex real estate transactions and draft key transaction documents, including joint venture agreements.
  • Draft refinery-related items, such as supply and offtake arrangements, term loan facility agreements, marketing and consulting agreements, and transportation and storage arrangements.
  • Work on structured wholesale and retail power and gas transactions, including transportation agreements, exchange agreements, and storage agreements.
  • Review complex commercial and energy transaction documents, including supply and offtake agreements, power purchase agreements, and facility agreements.
  • Advise and manage complex cross-border energy-related transactions, including global mergers of natural gas entities and acquisitions in the EMEA region.
  • Review and prepare comments on draft forms of agreements for construction, equipment supply, service and maintenance, including corporate acquisitions and loans in the renewable energy and related sectors.

 

Requirements:

  • 3+ years of experience representing clients in energy transactions on the acquisition of oil and gas facilities.
  • Admission to practice law in the state of Texas.
  • Juris Doctor, LLM, or equivalent.

 

Skills:

  • Expertise in complex real estate transactions.
  • Drafting and negotiating various transaction documents.
  • In-depth knowledge of structured power and gas transactions.
  • Familiarity with cross-border energy-related transactions.
