A law firm in San Francisco is seeking a Technology and IP Transactional Associate Attorney with 4-6 years of experience in technology and IP-intensive transactions or other relevant experience. The successful candidate will work on a wide range of domestic and international transactions for public and private companies across various industries, including software, pharma and life sciences, consumer products, and media and entertainment. Matters will include mergers and acquisitions, financings, joint ventures, strategic alliances, software and systems agreements, outsourcing, R&D agreements, collaboration agreements, licenses (patent, trademark, copyright, and data/databases),

and other commercial agreements. Outstanding credentials and qualifications are required.

 

Duties:

  • Handle a variety of technology and IP-intensive transactions for public and private companies.
  • Draft and negotiate agreements for mergers and acquisitions, financings, joint ventures, strategic alliances, and other transactions.
  • Review and analyze contracts and agreements related to software, systems, outsourcing, R&D, collaboration, and licensing.
  • Provide legal advice and support on intellectual property matters.
  • Conduct due diligence reviews and analyze legal issues related to transactions.
  • Collaborate with clients and internal teams to develop and execute strategic plans.
  • Manage client relationships and communicate effectively with clients and other stakeholders.

 

Requirements:

  • 4-6 years of experience with technology and IP-intensive transactions or other relevant experience.
  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the State Bar in the jurisdiction of practice.
  • Strong understanding of technology and intellectual property law.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to work independently and collaboratively in a team environment.
  • Outstanding credentials and qualifications.

 

Education:

Juris Doctor (.) degree from an accredited law school.

 

Certifications:

Admission to the State Bar in the jurisdiction of practice.

 

Skills:

  • Strong understanding of technology and intellectual property law.
