New York City office of a BCG Attorney Search Top Ranked Law Firm seeks senior corporate transactional attorney with 8-10 years of experience, preferably with M&A experience on the buyer and seller side (such as experience drafting and negotiating asset, stock, merger, employment, escrow, LLC operating, shareholder, and other agreements typically relevant in these types of transactions) as well as strong corporate formation and commercial contracting experience. The candidate will be reviewing, drafting, and negotiating legally-binding agreements on behalf of the corporation, which could involve everything from lease agreements to multi-billion dollar Mergers and acquisitions (M&A): Conducting due diligence, negotiating, drafting, and generally overseeing \"deals\" that involve a corporation \"merging\" with another company or \"acquiring\" (purchasing) another company. Will be helping clients create the framework for how a firm is directed and controlled, such as by drafting articles of incorporation, creating bylaws, advising corporate directors and officers on their rights and responsibilities, and other policies used to manage the company. Helping startup or existing corporations find capital to build or expand the business, which can involve either private or public financing. Advising clients on securities law compliance, which involves the complex regulations aimed at preventing fraud, insider training, and market manipulation, as well as promoting transparency, within publicly-traded companies. Assisting businesses to prevent, navigate, and resolve complex legal issues. Assisting and advising businesses on establishing their company's structure, policies, objectives, and procedures for their business operations. Ensuring all relevant laws and outcomes are understood by clients. Drafting, reviewing, completing, and filing legal paperwork for clients. Examining and reporting any potential or existing legal issues to clients. Counseling clients on business processes, strategies, and actions that comply with all relevant local, state, federal, and international laws. Managing multiple clients, cases, and legal activities that carry varying deadlines.
