A law firm seeks a Corporate Attorney to join their New York City, NY team. The ideal candidate should have 5-15 years of experience and possess the following qualifications:

Job Overview: The Corporate Attorney will handle middle-market mergers and acquisitions transactions on both the buy-side and sell-side, joint ventures, corporate governance matters, and commercial contracts. They will work collaboratively with deal teams of varying sizes, coordinate extensively with subject-matter specialists, and demonstrate proficiency in drafting definitive agreements, ancillary documents and agreements, and commercial agreements. Additionally, the candidate will be expected to train and develop more junior team members and exhibit high responsiveness and ability to multi-task.

Duties:

  • Handle middle-market mergers and acquisitions transactions on the buy-side and sell-side
  • Manage joint ventures, corporate governance matters, and commercial contracts
  • Coordinate extensively with subject-matter specialists
  • Draft definitive agreements, ancillary documents and agreements, and commercial agreements
  • Train and develop more junior team members
  • Exhibit a high degree of responsiveness and ability to multi-task

Requirements:

  • 5-15 years of experience in corporate law
  • Significant experience with middle-market mergers and acquisitions transactions
  • Proficiency in handling buy-side and sell-side transactions
  • Strong understanding of joint ventures, corporate governance, and commercial contracts
  • Ability to work effectively on deal teams of varying sizes
  • Excellent communication and interpersonal skills

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the New York State Bar or eligibility for admission via reciprocity

Skills:

  • Strong drafting and negotiation skills
  • Ability to prioritize and manage multiple tasks efficiently
  • Attention to detail and accuracy
  • Team player with strong leadership capabilities
