A law firm is seeking a skilled Corporate Attorney to join its dynamic team. The ideal candidate will be responsible for handling general corporate matters, including drafting and negotiating purchase agreements, advising on securities law compliance, negotiating investment transactions, and drafting core company governance documents. The Corporate Attorney must demonstrate a commitment to delivering high-quality work, effective communication, and a desire to cultivate strong client relationships.

 

Job Details:

  • Assist firm members in representing clients in general corporate matters.
  • Draft and negotiate purchase agreements and related documents.
  • Handle and advise clients on securities law compliance matters.
  • Negotiate investment transactions from both company- and investor-side perspectives.
  • Draft core company governance documents related to client operations and material transactions.
  • Communicate in a highly responsive manner and consistently deliver high-quality work products.
  • Effectively communicate at all levels of the firm and with firm clients.
  • Demonstrate a strong desire to develop and grow strong client relationships at all levels of the client organization.
  • Commit to enhancing knowledge on cutting-edge developments in the area(s) of the attorney’s practice.

 

Requirements:

  • Experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm, including running M&A deal processes.
  • . degree from an ABA-accredited institution.
  • Licensed attorney in good standing in Illinois, Michigan, California, or Texas.

 

Experience:

  • The ideal candidate would have 3-6 years of experience in buy-side and sell-side mergers, acquisitions, and dispositions.
  • Proficiency in handling private and public securities law matters.
  • Experience in entity formations.
  • Familiarity with venture capital and private equity financing transactions.

 

Skills:

  • Strong drafting and negotiation skills.
  • Knowledge of securities law compliance.
  • Effective communication at all organizational levels.
