West Palm Beach office of our client seeks an attorney with experience in the complete IPO process and Form S-3 takedown transactions, including Registered Direct, CMPO, and ATM offerings. The candidate will be responsible for Regulation A Offerings. Must be proficient in the Securities Act of 1933 offer, sale, and registration statement requirements, including registration on Forms S-1, S-3, S-4, and S-8. Should be able to prepare all needed transaction documents including the ProSupp. Must be knowledgeable and experienced with Rule 424 requirements.
