The ideal candidate will have 5+ years of legal industry experience with a background in Delaware (DE) and Pennsylvania (PA) corporate laws. Strong academics, excellent writing skills (preferably law review or journal experience), and PA Bar admission or the ability to waive in are essential for this role.

Duties:

• Draft and review venture capital investment documents, ensuring accuracy and compliance.
• Handle various commercial contracts, including confidentiality, consulting, material transfer, master services, license, clinical trial, and research agreements.
• Provide legal counsel with a specific focus on the life science sector.
• Stay updated on industry trends and legal developments impacting the life science field.
• Collaborate with internal teams and clients to develop effective legal strategies.
• Ensure compliance with Delaware and Pennsylvania corporate laws.
• Conduct legal research and analysis related to venture capital and commercial transactions.

Requirements:

• 5+ years of legal industry experience.
• First-hand experience in drafting and reviewing venture capital investment documents and various commercial contracts.
• Background in Delaware and Pennsylvania corporate laws.
• Strong academic credentials.
• Excellent writing skills, preferably with law review or journal experience.
• PA Bar admission or ability to waive in.

Education:

• Juris Doctor (JD) degree from an accredited law school.
