A law firm in Rochester, NY, is seeking a Finance Partner, specifically a New York licensed Banking and Finance attorney with a minimum of 10 years of experience. The ideal candidate will have a strong background in representing borrowers and lenders in complex, middle-market commercial lending transactions. This position requires expertise in negotiating, structuring, and documenting various secured and unsecured financing transactions, including commercial mortgage deals, acquisition financings, asset-based financings, senior, mezzanine, and subordinated debt transactions, cross-border financings, and the preparation of opinion letters.
Duties:
- Represent clients in a wide range of banking and finance matters, providing legal advice and guidance.
- Negotiate and structure secured and unsecured financing transactions, including commercial mortgage deals, acquisition financings, and asset-based financings.
- Prepare and review legal documents and agreements related to financing transactions, ensuring legal compliance.
- Offer expertise in senior, mezzanine, and subordinated debt transactions, as well as cross-border financings.
- Draft and provide opinion letters as required.
- Collaborate with clients, colleagues, and external parties to achieve the best possible outcomes for clients.
Requirements:
- A New York State Bar license is required.
- A minimum of 10 years of experience as a Banking and Finance attorney.
- Proven experience in representing borrowers and lenders in middle-market commercial lending transactions.
- Proficiency in negotiating, structuring, and documenting complex financing transactions.
- Strong understanding of commercial mortgage transactions, acquisition financings, and asset-based financings.
- Expertise in senior, mezzanine, and subordinated debt transactions.

Education:
- Juris Doctor (JD) from an accredited law school.
