As the Government, Healthcare Attorney – Vice President, Assistant General Counsel in the Commercial Banking Innovation & Products and Shared Services Legal, you will play a pivotal role in providing transactional and strategic legal support to the firm’s Government, Healthcare, Higher Education and Not-for-Profit (GHHN) businesses. This includes advising on a variety of GHHN issues, collaborating with key decision makers, and providing day-to-day support for the team and its internal stakeholders. Job Responsibilities - Draft, negotiate and advise on a wide range of documentation and transactional support structures for the GHHN businesses. - Review and respond to various solicitation documents from GHHN clients and provide advice on final contracts and exception approval issues. - Assist with projects and initiatives to meet business, regulatory, or operational goals and address compliance concerns. - Stay updated on legal and regulatory changes and provide advice on their impact on GHHN products and services. - Advise the businesses on key legal and regulatory issues. Required Qualifications and Skills - Minimum of 5 years of post-admission practicing experience with a major law firm, financial institution, or judicial clerkship. - JD or equivalent degree and compliance with relevant licensing requirements. - Transactional experience and strong contract negotiation skills. - Experience working with Governments, Healthcare providers, Higher Education institutions, or Not-For-Profit organizations. - Familiarity with banking law and financial services laws and regulations. - Ability to lead and drive teams and collaborate with various functional areas. - Strong prioritization and time management skills and ability to interact with senior management. Preferred Qualifications and Skills - Knowledge of laws, rules, and regulations applicable to GHHN clients. - Experience with wholesale payment solutions. - Experience with requests for proposals, particularly from state and local governments. - Knowledge of state and local government issues, including procurement laws. All candidates for roles in the Legal department must complete a conflicts of interest clearance review before employment. Attorneys are also required to submit annual conflicts of interest clearance reviews. Other qualifications, capabilities, and skills may be required for specific positions in the Legal department.
