Bank of America is seeking an experienced Assistant General Counsel to join their Commercial Banking team. The ideal candidate will have a strong background in secured lending and will provide legal support and strategic advice to the commercial businesses of Bank of America. This role involves working closely with line of business clients at all levels, as well as collaborating with internal legal colleagues and other partners. The Assistant General Counsel will also participate in various projects and initiatives, making a significant impact within the organization.

Key Responsibilities:

• Provide general legal counsel to the commercial banking and private lending businesses, including advice on products, services, and legal actions

• Review legal contracts and documents, conduct legal research, and represent the bank in legal actions

• Structure, negotiate, and advise on syndicated and bilateral commercial credit arrangements

• Offer specific advice regarding commercial legal framework

• Participate in enterprise, legal, and business projects and initiatives

Qualifications:

• 4+ years of relevant experience in structuring, drafting, and negotiating documentation for single lender and syndicated commercial credit facilities

• Strong communication skills and experience in risk identification, analysis, and management decision making

• JD and at least one state bar admission (active/good standing)

Preferred Skills:

• Experience in bankruptcy/workout, litigation, or bond finance

Additional Skills:

• Interpretation of relevant laws, rules, and regulations

• Advisory and legal drafting and writing

• Critical thinking and problem solving

• Knowledge of policies, procedures, and guidelines

• Regulatory compliance and issue management
