Job Overview: A law firm in Vienna, VA, is seeking a Corporate Attorney to join their dynamic team. The ideal candidate will have a Juris Doctor (.) from an accredited law school, admission to the State Bar (Virginia preferred but not necessary), and at least 2 years of substantial Corporate Transactional experience. The Corporate Attorney will be responsible for reviewing, negotiating, and drafting various contracts, assisting with entity formation, providing legal advice on employment-related issues, and fostering strong client relationships. Additionally, the candidate should demonstrate leadership skills by mentoring junior associates and managing transaction workflows.

Job Details:

• Review, negotiate, and draft a wide variety of contracts, including purchase agreements, merger agreements, shareholder agreements, operating agreements, software licensing, stock and asset purchase agreements, commitment letters, term sheets, and other agreements.
• Assist with entity formation and structuring for mergers, acquisitions, joint ventures, or other business arrangements.
• Provide businesses and business owners legal advice on employment-related issues, including labor law, employee contracts, and employee benefits.
• Develop and maintain strong client relationships, understanding clients' business objectives, and providing tailored legal advice.
• Led and mentored junior associates and support staff, managing transaction workflows.

Requirements:

• Admission to the State Bar (Virginia preferred but not necessary).
• 2 years of substantial Corporate Transactional experience (., contract drafting, review, and negotiation; business formation; corporate governance; mergers and acquisitions; venture capital; employment).
• Excellent drafting and negotiation abilities.
• Strong organizational and communication skills.
• Willingness and ability to contribute to the growth and success of the firm.
• Law Review experience is a plus.

Education:

• Juris Doctor (.) from an accredited law school.
