Role Overview: The Associate Commercial Counsel will play a critical role in supporting OpenGov's mission by providing legal support to the company's sales and business development teams. This role will report to the General Counsel and will work closely with the sales and business development teams to negotiate and draft a variety of contracts, including software as a service (SaaS) agreements, master subscription agreements, and professional services agreements. The ideal candidate will have 2-4 years of experience working in a law firm or in-house legal department, with a focus on commercial transactions. Role Responsibilities: • Negotiate and draft a variety of commercial agreements, including SaaS agreements, master subscription agreements, and professional services agreements. • Provide legal support and advice to the sales and business development teams. • Advise on legal and regulatory issues related to government contracts. • Assist with contract management and administration. • Stay current on relevant laws and regulations relating to government contracts and procurement. Requirements: • Juris Doctor (JD) degree from an accredited law school. • 2-4 years of experience working in a law firm or in-house legal department. • Experience with commercial transactions, preferably in the technology industry. • Knowledge of government contracts and procurement processes is a plus. • Excellent negotiation and drafting skills. • Strong attention to detail and ability to manage multiple projects simultaneously. • Ability to work independently and as part of a team. • Must be licensed to practice law in the state where the position is located.
