A law firm based in New York City is seeking a skilled Complex Credit and Insurance Solutions Associate Attorney with 3-5 years of experience in private credit fund formation. The ideal candidate will have expertise in private fund documentation, fund raises, and a strong understanding of federal securities laws.

Duties:

• Draft and negotiate fund documentation, including private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings.
• Manage the entire fundraise project, from launch to close, involving client interfacing, investor negotiation, side letter negotiation, and overseeing the subscription process.
• Ensure compliance with the Investment Advisers Act and other federal securities laws, including knowledge of Regulation D offering requirements and exemptions to the Investment Company Act.
• Provide legal guidance on closing mechanics and documentation.

Requirements:

• 3-5 years of experience working in complex credit fund formation and insurance solutions for private fund sponsors.
• Prior experience with private credit or Collateralized Loan Obligations (CLOs) is a plus.
• Large law firm experience is required.

Education:

Juris Doctor (JD) from an accredited law school.

Skills:

• Strong drafting and negotiation skills for fund documentation.
• Project management skills for overseeing fundraises from launch to close.
• Familiarity with the Investment Advisers Act and federal securities laws.
• Attention to detail in managing subscription processes and closing mechanics.
• Excellent interpersonal and communication skills for client and investor interaction.
