A law firm located in Boca Raton is seeking a Corporate/M&A/Securities/Finance Transactional Attorney with at least 6 years of experience in corporate, M&A, securities, and/or finance transactions. The ideal candidate will have applicable Bar admission for the jurisdiction of interest, strong academic credentials, and excellent oral and written communication skills.

 

Duties:

  • Advise clients on corporate, M&A, securities, and finance transactions.
  • Draft and negotiate transactional documents, including merger agreements, stock purchase agreements, and financing documents.
  • Conduct due diligence and risk assessments for transactions.
  • Provide legal advice and counsel on regulatory compliance matters.
  • Assist with corporate governance matters, including board meetings and shareholder agreements.
  • Collaborate with other attorneys, paralegals, and legal staff on transactional matters.
  • Communicate effectively with clients, opposing counsel, and other stakeholders.
  • Stay updated on changes in laws and regulations relevant to corporate, M&A, securities, and finance transactions.
  • Manage multiple transactions simultaneously while meeting deadlines and client expectations.

 

Requirements:

  • Applicable Bar admission required for the jurisdiction of interest.
  • 6+ years of experience with corporate, M&A, securities, and/or finance transactions.
  • Strong academic credentials.
  • Excellent oral and written communication skills.
  • Ability to work independently and as part of a team.
  • Detail-oriented with strong organizational skills.
  • Ability to handle confidential information with discretion.

 

Education and Certifications:

  • Juris Doctor (.) degree from an accredited law school.
  • Applicable Bar admission for the jurisdiction of interest.

 

Skills:

  • Proficiency in corporate, M&A, securities, and finance transactional matters.
