A law firm in Columbus, OH, is seeking a Corporate Associate Attorney with 2-4 years of experience in handling complex business transactions, including mergers and acquisitions, business formation, corporate governance, and contract matters. The candidate will have the opportunity to work on traditional corporate and business projects, as well as post-closing M&A disputes nationwide and pre-transaction underwriting and risk assessment with respect to transaction risk insurance.

 

Duties:

  • Handle traditional corporate and business projects
  • Work on post-closing M&A disputes nationwide
  • Assist in pre-transaction underwriting and risk assessment for transaction risk insurance
  • Conduct legal research and analysis related to corporate transactions
  • Draft and review corporate documents, including contracts, agreements, and governance documents
  • Assist in due diligence investigations for mergers and acquisitions
  • Provide legal advice and counsel to clients on corporate governance matters
  • Collaborate with internal and external stakeholders to achieve client objectives
  • Assist in negotiations and closings of corporate transactions
  • Stay updated on relevant laws, regulations, and industry trends

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school
  • Admission to the state Bar association in good standing
  • 2-4 years of experience in corporate law, with a focus on complex business transactions
  • Undergraduate degree in finance or accounting preferred
  • CPA, CFA, or other accounting/valuation credentials preferred
  • Strong academic credentials
  • Excellent written and oral communication skills
  • Ability to work independently and collaboratively

 

Education:

Juris Doctor (.) degree from an accredited law school

 

Certifications:

  • Admission to the state Bar association in good standing
  • CPA, CFA, or other accounting/valuation credentials (preferred)
