A law firm in San Francisco is seeking a Fund Formation Associate Attorney with 4+ years of experience advising private fund sponsors or limited partners. The ideal candidate will have experience preparing and reviewing fund marketing materials, negotiating fund partnership agreements and side letters, and knowledge of relevant regulations under the Investment Advisers Act of 1940 and the Investment Company Act of 1940. Experience with Commodity Exchange Act rules and regulations or Subchapter K (partnership tax) is a bonus. The candidate must have excellent judgment, communication skills, and be comfortable working in a collaborative team environment.

 

Duties:

  • Prepare and review fund marketing materials.
  • Negotiate fund partnership agreements and side letters.
  • Ensure compliance with relevant regulations under the Investment Advisers Act of 1940 and the Investment Company Act of 1940.
  • Provide advice on Commodity Exchange Act rules and regulations or Subchapter K (partnership tax) as needed.
  • Collaborate with team members on fund formation and operational matters.
  • Conduct legal research and provide analysis on fund-related issues.

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the California Bar.
  • 4+ years of experience advising private fund sponsors or limited partners.

 

Skills:

  • Excellent judgment and communication skills, both verbal and written.
  • Familiarity with major MS Office products.
  • Ability to work in a collaborative team environment.
  • Strong attention to detail and organizational skills.
  • Knowledge of relevant regulations and laws related to private fund formation.
