Dallas office of a BCG Attorney Search Top Ranked Law Firm seeks an M&A attorney with 3-7 years and at least 1,500 hours of experience with mergers and acquisitions transactions, assembling, organizing, reviewing, and summarizing material diligence materials, drafting provisions and transaction documents, and participating or leading closings. The candidate will receive 60% of assignments involving M&A transactions, with the remainder being general corporate transactions. Will have the opportunity to develop a mastery of managing risk and creating value using corporate documentation and legal advice together with business strategy. Should have current experience in general corporate work, such as recording-keeping for and managing notices of shareholder, partner, member, director, manager, or general partner meetings; balancing the rights and obligations of owners, fiduciaries, and agents of corporations; and/or other corporate transactions. Should have technical proficiency with the Microsoft Office Suite, hold a . from an ABA-accredited law school, and be an active member in good standing with the Texas Bar. Basic familiarity with capital, equity, and debt structuring with companies pre- and post-closing in both asset and equity transactions.
