A law firm in Miami is seeking a Senior Corporate Attorney. The attorney will play a key role in handling corporate transactions, including joint venture transactions, equity investments, mergers and acquisitions, corporate governance, and LLC and partnership issues.

 

Duties:

  • Lead and manage corporate transactions from inception to closing.
  • Draft and negotiate complex transactional documents, including agreements, contracts, and corporate governance documents.
  • Provide legal advice and counsel on corporate governance matters.
  • Conduct due diligence reviews and assessments for mergers and acquisitions.
  • Advise clients on LLC and partnership issues, including formation, structuring, and dissolution.
  • Collaborate with clients, opposing counsel, and internal stakeholders to achieve business objectives.
  • Stay updated on relevant laws, regulations, and industry trends impacting corporate transactions.

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Florida Bar.
  • 5+ years of experience in corporate transactions.
  • Extensive knowledge of joint venture transactions, equity investments, and M&A transactions.
  • Strong understanding of corporate governance principles.
  • Excellent drafting and negotiation skills.
  • Ability to work independently and manage complex transactions.
  • Effective communication and interpersonal skills.

 

Education:

Juris Doctor (.) degree from an accredited law school.

 

Certifications:

Admission to the Florida Bar.
