The ideal candidate should have general M&A and transactional experience, with a focus on M&A transactions involving public companies (on the sell-side and buy-side) and related securities laws. They must have outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills. Relevant Bar admission or eligibility to obtain admission promptly is required.

 

Duties:

  • Handle a variety of M&A transactions involving public companies.
  • Represent clients in both buy-side and sell-side M&A transactions.
  • Advise clients on securities laws and regulations related to M&A transactions.
  • Draft and review transactional documents, including merger agreements, stock purchase agreements, and disclosure documents.
  • Conduct due diligence reviews for M&A transactions.
  • Assist with negotiations and closings of M&A deals.
  • Provide legal advice and guidance on complex M&A and securities law issues.
  • Interface with clients, opposing counsel, and regulatory agencies.
  • Collaborate with partners and senior attorneys on M&A matters.
  • Stay updated on relevant laws, regulations, and industry trends.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 3-6 years of experience in M&A and transactional law.
  • Experience with M&A transactions involving public companies.
  • Outstanding academic credentials.
  • Comparable law firm experience.
  • Excellent written and verbal communication skills.
  • Relevant Bar admission or eligibility to obtain admission promptly.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:
