Duties:

  • Collaborate with private equity and venture capital sponsors and their investors on fund formation engagements.
  • Draft and negotiate limited partnership agreements, subscription agreements, side letter agreements, and other fund-related documents.
  • Conduct legal review and complete private placement memoranda (PPMs) for fund offerings.
  • Assist in drafting general partner and management company arrangements.
  • Provide guidance on regulatory compliance matters related to private equity and venture capital funds, including compliance with the Securities Act, the Investment Company Act, and the Investment Advisers Act.
  • Manage all aspects of fund formation transactions, including document drafting, due diligence, and closing processes.
  • Communicate effectively with clients and internal stakeholders to address their needs and concerns.
  • Stay abreast of relevant legal developments and regulatory changes impacting fund formation and private equity/venture capital industries.

Requirements:

  • 3+ years of experience in fund formation for private equity and venture capital sponsors and investors.
  • Knowledge of fund formation processes, including drafting LPAs, subscription agreements, side letters, and PPMs.
  • Familiarity with regulatory frameworks governing private equity and venture capital funds, including the Securities Act, the Investment Company Act, and the Investment Advisers Act.
  • Experience with legal review and completion of private placement memoranda.
  • Strong drafting and negotiation skills.
  • Detail-oriented with the ability to manage multiple projects simultaneously.
  • Excellent communication and interpersonal skills.
  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Massachusetts Bar or eligibility for admission.
