As a Corporate Paralegal at Cornerstone Building Brands, you will join our Legal Team and work alongside professionals in Securities, M&A, Risk Management, Compliance, and ESG. We are seeking an enthusiastic, hard-working, and skilled individual with a service-oriented mindset, executive presence, and strong multitasking and problem-solving abilities. This role is based in Cary, NC, with a hybrid schedule of two days in the office per week.

Duties and Responsibilities:

- Lead legal entity management, including collaborating with other Legal team members and external vendors on entity formation and maintenance, periodic filing and reporting requirements, and maintenance of officers and directors' lists and other internal resources.
- Manage all business licensing matters independently, in collaboration with different business teams.
- Assist in drafting Board of Director and other corporate documents as needed, including minutes, resolutions, intercompany agreements, certificates, powers of attorney, and notices.
- Support the administration of equity-related projects and plans as needed.
- Collaborate with Legal team members and other departments on periodic reporting requirements, including corporate entity changes, officer changes, M&A, and divestitures.
- Assist with and respond to Know Your Client (KYC) requests from internal and external parties.
- Partner with other Legal team members to develop plans and processes for corporate governance and entity management.
- Stay up to date on legislative, regulatory, and corporate governance developments and their potential and actual impact on the Company.
- Provide overflow support on ongoing Legal projects and responsibilities as needed, including within M&A, ESG, and compliance.

Qualifications:

- Experience with legal entity mechanics, corporate governance, and related topics.
- Experience with board of directors' meetings, related board materials and portals, and communicating with board members.
- Motivated self-starter with excellent organizational skills, strong attention to detail, and ability to work well under pressure.
- Strong verbal and written communication and interpersonal skills, and a desire to work in a team environment.
- Takes pride in delivering quality work product and embraces opportunities to take ownership as needed.
- Proficient in the use of Microsoft Office products and willing to continuously improve technology and other skills.
