Job Overview:

The Asset Finance And Securitization Associate Attorney will be responsible for assisting clients in structured finance and securitization matters, with a focus on Residential Mortgage Backed Securities (RMBS) and/or consumer Asset Backed Securities (ABS). The role requires collaboration within a dynamic team environment and engagement with various asset classes.

Duties:

  • Provide legal counsel and support to clients on structured finance and securitization transactions.
  • Draft and review transaction documents, including prospectuses, offering memoranda, and related agreements.
  • Conduct due diligence and analysis on asset pools and underlying collateral.
  • Assist in negotiations with counterparties and regulatory compliance matters.
  • Collaborate with internal teams and external parties to ensure successful deal execution.
  • Stay updated on industry trends, regulations, and best practices.

Requirements:

  • 3-5 years of experience in asset finance and securitization.
  • Prior experience with structured finance transactions, particularly Residential Mortgage Backed Securities (RMBS) and/or consumer Asset Backed Securities (ABS).
  • Familiarity with other asset classes, such as solar loans, mineral rights, royalties, single-family rental properties, timeshares, and trade receivables is advantageous.
  • Proven ability to work effectively within a large law firm environment.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal abilities.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission.
