A law firm in Houston is seeking a Lateral Corporate - Finance Associate Attorney with debt finance experience at a peer firm. The ideal candidate will have some private equity acquisition finance experience, with preference given to those with experience in oil- and gas-related transactions. Representation of borrowers or lenders, or both, is welcome.

 

Duties:

  • Provide legal counsel and support on corporate finance matters, with a focus on debt finance transactions.
  • Assist clients in structuring and negotiating financing arrangements, including private equity acquisition finance deals.
  • Conduct due diligence reviews and analysis for financing transactions, including oil- and gas-related transactions.
  • Draft and review financing agreements, security documents, and related legal documents.
  • Collaborate with clients, opposing counsel, and other stakeholders to achieve transaction objectives.
  • Stay updated on relevant laws, regulations, and industry trends affecting corporate finance transactions.
  • Manage and prioritize workload effectively to meet client deadlines and expectations.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar and eligibility to practice law in Texas.
  • 4-7 years of experience in corporate finance, with a focus on debt finance.
  • Private equity acquisition finance experience is preferred.
  • Experience with oil- and gas-related transactions is desirable.
  • Strong analytical, communication, and negotiation skills.
  • Ability to work independently and as part of a team in a fast-paced environment.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the State Bar and eligibility to practice law in Texas.

 

Skills:

  • Experience in debt finance transactions.
  • Knowledge of private equity acquisition finance.
  • Familiarity with oil- and gas-related transactions (preferred).
  • Strong legal research and writing skills.
