A law firm in Boston, MA, is seeking a Corporate Securities Associate Attorney with 4-6 years of in-depth experience. The Corporate Securities Associate Attorney will be responsible for handling various aspects of public company rules and regulations, public and private offerings of securities, reporting requirements, proxy statements, section 16 reporting, and general corporate governance matters.

 

Duties:

  • Manage public company rules and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Oversee public and private offerings of securities.
  • Demonstrate knowledge of national securities exchange listing rules.
  • Prepare and review reports on Forms 10-K, 10-Q, and 8-K.
  • Draft proxy statements for annual and special shareholder meetings.
  • Handle Section 16 Reporting (Forms 3, 4, and 5).
  • Assist with general corporate and corporate governance matters, such as drafting board resolutions, policies, and press releases.
  • Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus.

 

Requirements:

  • 4-6 years of in-depth experience in corporate securities law.
  • Strong understanding of public company rules and regulations.
  • Familiarity with reporting requirements and proxy statement preparation.
  • Knowledge of national securities exchange listing rules.
  • Experience with Section 16 Reporting.
  • General corporate and corporate governance experience.
  • Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus.

 

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar in Massachusetts.
