Overview:
- Strategic and cross-functional role focusing on general corporate law
- Reporting to the Associate General Counsel
- Provide legal services to in-house clients
- Support corporate development and finance teams
- Work across multiple functions at Rocket Software

Responsibilities:
- Oversee corporate governance policies and procedures for over 50 legal entities
- Manage outside local counsel in applicable jurisdictions
- Support post-acquisition integration process
- Perform due diligence on target companies
- Advise corporate development teams on potential risks and recommendations
- Assist with Know Your Customer questionnaires
- Provide support on procurement, vendor, and facilities agreements
- Negotiate and review commercial agreements
- Develop a thorough understanding of Rocket's business
- Counsel business team on legal issues and risks
- Provide day-to-day legal support for the company
- Work on significant and unique issues
- Counsel and collaborate with other members of the legal department
- Help maintain and update corporate governance policies and procedures
- Monitor changes in relevant legislation and regulations
- Prepare summaries of changes and suggested actions
- Assist with embedding changes within the company

Qualifications:
- Strong academic credentials and law degree
- Must be licensed to practice law in at least one US State or admitted in an European jurisdiction
- Minimum of 8 years of experience in law firms and in-house legal positions
- Experience in software and/or high technology industries, including M&A
- Experience in international transactions and international law is a plus
- Experience with corporate governance of legal entities
- Ability to clearly articulate and defend risk analysis
- Ability to establish and maintain positive working relationships
- Ability to prioritize and manage multiple projects and deadlines
- Proven team player and consensus builder
- Flexible self-starter and proactive problem solver
- Effective written and oral communication skills
- Diplomatic, approachable, and possessing good business and personal judgment
- Ability to manage conflicting demands in a fast-paced environment
- Inherent ability to act with integrity and professionalism
- Excellent organizational skills
