Stamford office of our client seeks a technology attorney with 5 years of experience in technology law. The candidate will have responsibility for legal matters pertaining to technology, including review of customer and supplier contracts, management of the firm's intellectual property portfolios, right to use / clearance analyses, and oversight of Firm open source software policies. Will be responsible for supporting all corporate functions and business units within firms. Work both independently and under the supervision of the Deputy General Counsel. Advise business and cross-functional stakeholders on day-to-day and strategic technology legal issues that may include product liability, intellectual property rights, warranty terms, indemnification, privacy as well as key company policies and procedures. Independently draft, review and negotiate complex agreements, including technology and outsourcing agreements (., ITO and BPO), software and SaaS-related agreements (both development and inbound/outbound licensing), ecommerce agreements, web-based terms and conditions, and financing/payment agreements (., for credit card and alternate payment methods), procurement contracts and various other types of agreements. Advise business units, engineering, and innovation teams regarding various legal matters pertaining to technology, including the right to use / clearance issues and disputes. Work on legal matters pertaining to technology, both independently and with other members of the Legal Department. Identify, evaluate and act on compliance needs of the business in a timely manner. Work on special projects with senior management, other members of the Legal Department, and outside counsel as necessary. Consult with subject matter experts, internal and external, as needed. Respond to claims and threatened actions. Manage outside counsel. Proactively identify legal issues and trends, and propose and implement solutions. Support the continuous improvement of the Legal Department?s processes by identifying and implementing improvements in tools and operations. Must be a member in good standing of the Bar of a US state or District of Columbia. Prior in-house experience is a plus. A diverse technology legal background, including negotiation experience, client counseling experience, right to use / clearance experience, intellectual property portfolio management, and open source software experience, is desired. Additionally, prior non-legal work experience in the areas of information technology or computer science, electronics, software, or other related technologies would be beneficial. Experience in government/public sector contracting is required. Must have transactional experience in financing/payment agreements.
