Duties:

  • Work with venture-backed private and public companies in various transactions.
  • Handle equity financing, IPOs, M&A, and corporate governance matters.
  • Demonstrate an interest in life sciences work.
  • Work collaboratively in teams and independently manage significant components of transactions.
  • Provide legal counsel on a broad range of corporate and transactional matters.
  • Conduct due diligence and research related to life sciences companies.
  • Draft, review, and negotiate legal documents, including agreements and securities offerings.
  • Assist with SEC reporting and compliance.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 2-4 years of experience in a broad range of corporate and transactional matters.
  • Experience in seed and venture capital transactions, corporate governance, mergers and acquisitions, private and public offerings of securities, and SEC reporting.
  • Outstanding academic credentials.
  • Comparable law firm experience.
  • Admission to the State Bar in California.
