Attorney Duties: Manage legal aspects of P3 project bids from qualification phase through financial close. Liaise with external legal counsel and internal bid directors/managers; communicate diligently, and attend legal and commercial meetings and conference calls, as reasonably required, on all issues concerning the RFQ and RFP, including, but not limited to, teaming agreements, project agreements (development and operations), principal subcontracts and financing/ security agreements. Prepare risk analyses and due diligence reports, as well as address legal aspects of all equity and operations related issues in connection with participation in any project consortium, JV or similar arrangements, including the development of shareholders’ agreements or similar governing instruments relating to the formation of special purpose vehicles (SPV). Assist with the determination of optimal legal structure for bid projects. Assist with selection and engagement external legal counsel and/or any other related consultants required to support legal aspects of project bids. Negotiate terms and conditions with clients, lenders, legal counsel and other project constituents to allocate/mitigate/transfer risk while adequately protecting the Company. Identify, monitor, and liaise with external legal counsel regarding legal issues relating to real estate, planning, tax, environmental, and labor/employment in connection with P3 projects. Prepare document summaries and lists of commercial and legal key issues arising out of the review of the project bids, as well as drafting responses to RFP evaluation questions, as necessary. Assist with drafting and negotiation of subcontractor agreements, including design/build and operations/maintenance agreements. Prepare and present legal papers to facilitate internal committee/Board level approvals for investments in P3 project pursuits. Assess organizational risks and develop policies and protocols to mitigate risk and financial exposure. Ensure compliance with Federal, state, local and corporate requirements relative to business. Assist with management of project-related disputes/litigation. Perform other duties as assigned.
Qualification and Experience Qualifications: Juris Doctor (J.D.) or Bachelors in Law (LL. B.) required. Must have 5-10 years experience in a corporate law setting. Experience in P3, real estate development and/or project finance transactions preferred. Must have strong verbal and written communication skills, analytical, and organizational abilities. Ability to travel as necessary throughout the company’s North American footprint. Capability to work in a fast paced environment and adept at supporting multiple team members with changing responsibilities. Proficient computer knowledge with Microsoft Office (Word, Outlook, and Excel) required. Ability to provide strategic vision into concrete plans of action.
